AGM NOTICE

ANNUAL GENERAL MEETING

Notice is hereby given that the Annual General Meeting of New Luce Community Trust will be held on Thursday 23th May 2024 at 7:00pm in the Memorial Hall, to conduct the following business of the company.

BUSINESS

 1) To receive any Apologies for absence, from Members

2) Minutes of previous AGM (15th February 2023)

 3) Chairman’s Report

4) To elect/re-elect nominated Directors (Four vacancies)

* Nomination forms will be sent to all members which will then be followed by a further notice indicating any nominations prior to the meeting*

5) Appointed Directors – New Luce Community Council

6) Presentation of Accounts to 31 March 2023

NOTES:

Composition of the Board of Directors

The Board shall comprise the following persons (a majority of whom shall always be Elected Directors), namely:

  • up to six individuals elected as Directors by the Ordinary Members (the Elected Directors), and who must themselves be Ordinary Members; and
  •  up to two individuals appointed by New Luce Community Council (the Appointed Directors).

Voting

Only full members are eligible to vote at General Meetings: to join please visit  – newlucect.org.

Proxy Voting

A Member of the Company is entitled to appoint a proxy to attend and, if a poll is taken, to vote at the Meeting on behalf of the Member.

Completed proxy forms must be lodged at the Company’s registered office, as set out above, not less than 48 hours before the time of the Meeting.

A proxy does not need to be a Member of the Company.
